Compliance MAIT - End User Licence Agreement (EULA)

This End User Licence Agreement (“Agreement”) governs your access to and use of the Compliance MAIT platform, mobile applications, and related services (collectively, the “Services”).
By creating an account, accessing, or using Compliance MAIT, you agree to be bound by this Agreement.
If you do not agree, you must not use the Services.
1. About Compliance MAIT
Compliance MAIT is an AI-powered software platform designed to facilitate the management, exchange, and alignment of compliance artefacts between connected entities.
Compliance MAIT is a technology provider only. We are not a regulator, certifier, auditor, employer, agent, or compliance authority.
2. Definitions
For the purposes of this Agreement:
LCRs means licences, certificates, registrations, academic qualifications, accreditations, inductions, insurances, training undertakings, and other compliance or capability artefacts uploaded to or managed within Compliance MAIT.
Entities means the three primary user types supported by Compliance MAIT:
Service Specialists
Prime Contractors
Hiring Firms
Each Entity is responsible for its own compliance obligations, user management, and data governance.
LCR Analysis Scores and Template Alignment Scores are AI-generated indicators produced by Compliance MAIT based on image analysis, metadata extraction, pattern matching, and comparison logic.
3. Nature of the Service
Compliance MAIT provides tools to:
Capture and store LCR images and data
Apply AI-assisted analysis to LCR artefacts
Facilitate controlled sharing of LCRs between connected Entities
Maintain an audit trail of LCR exchanges
Compliance MAIT facilitates compliance workflows. It does not determine whether any person or organisation is compliant with applicable laws, standards, or contractual requirements.
4. User Responsibilities
4.1 Retention of Original Documents
You must:
Retain original LCR documents in a safe and secure location
Not rely on Compliance MAIT as your sole record of original documents
Compliance MAIT takes no responsibility for:
Loss of information
Loss of images
Incomplete uploads
Errors caused by user actions or omissions
including where such loss results from user error, accidental deletion, incorrect permissions, or misuse of the Services.
4.2 Accuracy of Information
You are responsible for:
The accuracy, completeness, and currency of all LCRs uploaded
Reviewing and correcting AI-generated metadata before saving
Ensuring uploaded information reflects the true and current state of your credentials
5. AI Outputs, Scores, and Visual Indicators
5.1 Indicative Nature Only
LCR Analysis scores and Template Alignment scores:
Are AI-generated indications only
Are not recommendations
They must not be interpreted as legal, regulatory, professional, or compliance advice.
5.2 Colour Coding
Any colour coding (including green, amber, or red) applied to scores:
Is for visual ease-of-use only
Does not indicate approval, rejection, endorsement, or validation by Compliance Mait
6. Expiry Reminders
Expiry reminders and notifications are provided:
On a best efforts basis only
As a convenience feature
You must not rely solely on Compliance Mait reminders to ensure LCR currency.
Compliance MAIT does not guarantee:
That reminders will be delivered
That reminders will be timely
That reminders will be received or acted upon
7. Connections Between Entities
7.1 Nature of Connections
Connections within Compliance MAIT:
Are a technical integration only
Enable controlled exchange of LCRs between Entities
Connections do not:
Create a legal relationship
Replace commercial agreements and due diligence, contractual formalities, and onboarding,
Compliance MAIT recommends that appropriate commercial and legal agreements exist outside the platform before Entities connect on Compliance MAIT.
7.2 Responsibility for Entity Validation
Compliance MAIT takes no responsibility for:
Verifying the legal identity of Entities
Confirming business legitimacy
Validating authority to act
Confirming employment or contractual relationships
Final decisions regarding the suitability of, and engagement between entities, remain the responsibility of each Entity - independent of Compliance MAIT. Entities engage with each other at their own risk.
8. Permissions and Access Control
8.1 Administrator Responsibility
Each Entity is responsible for:
Appointing its system administrators
Granting and managing user permissions
Ensuring permissions align with regulatory and privacy obligations
Compliance MAIT takes no responsibility for:
Information made available through granted permissions
Personally identifiable information (PII) exposed by Entity configurations
Regulatory or contractual breaches arising from permission settings
8.2 Third-Party Data Sharing
Where Service Specialists engage via Prime Contractors:
Data may be shared with third-party connections (including Hiring Firms)
Such sharing may occur as a result of permission structures and connection paths
Compliance MAIT takes no responsibility for data inadvertently shared due to:
Entity permission choices
Connection hierarchies
Prime Contractor configurations
9. Fraud and Fraudulent Activities
Users must not create, enter, upload, or attempt to submit any false, misleading, or fraudulent information into Compliance MAIT. Any intentional submission of falsified content, including fake profiles, manipulated documents, incorrect credentials, or deceptive metadata, is strictly prohibited.
Consequences for fraudulent activity may include, without limitation:
Immediate suspension or termination of platform access;
Notification to affected Entities;
Audit investigation;
Reporting to regulatory, legal, or enforcement bodies where required;
Civil or criminal action in accordance with applicable laws.
Compliance MAIT is not responsible for any loss or damage incurred by users resulting from Compliance MAIT activities related to identified or suspected fraudulent activity.
10. Data Ownership and Survivability
Entities retain ownership of their uploaded LCRs
Submitted or linked LCRs may survive disconnection for audit and governance purposes
Compliance MAIT does not guarantee deletion where retention is required for audit integrity
11. No Warranties
To the maximum extent permitted by law, Compliance MAIT provides the Services:
“As is”
“As available”
Without warranties of any kind, express or implied, including fitness for purpose, accuracy, completeness, or regulatory compliance.
12. Limitation of Liability
To the maximum extent permitted by law:
Compliance MAIT is not liable for indirect, incidental, consequential, or economic loss
Compliance MAIT is not liable for regulatory action, fines, or enforcement
Compliance MAIT is not liable for decisions made by users or third parties based on use of the Services
13. Australian Consumer Law
Nothing in this Agreement excludes rights you may have under the Australian Consumer Law that cannot be excluded.
14. Governing Law
This Agreement is governed by the laws of Victoria, Australia, and the parties submit to the exclusive jurisdiction of Victorian courts.
